Doors & Windows Cooperation Agreement
Version 3.0
Thank you for choosing Permalsteel. We are a professional steel door and window manufacturer, focusing on providing high-quality products to the North American, Australian, and European markets.
Important Note: We are a manufacturing and export-oriented company. We do not provide on-site measurement, site inspection, or installation services. The following terms constitute the entire agreement between you and us regarding the purchase, production, delivery, and warranty of our products.
1. Scope and Order Acceptance
1.1 By accepting a quotation, placing an order, or making any payment, you acknowledge that you have read, understood, and unconditionally agreed to all terms of this Purchase Notice.
1.2 An order is accepted only when both of the following conditions are met:
- (a) Permalsteel confirms the order in writing (e.g., by email or order confirmation); and
- (b) You have paid the required deposit or full amount as set out in this Notice.
1.3 After an order is accepted, any changes require the written consent of both parties.
2. Measurement and Design Responsibility
2.1 Our quotation is based on all information provided by you, including but not limited to drawings, measurements, specifications, site photos, videos, and descriptions of the building structure.
2.2 You are responsible for the accuracy of the information you provide to us. If the information you provide (e.g., opening dimensions, structural type) is inaccurate or incomplete, causing the finished products not to fit the site, Permalsteel assumes no responsibility and will not accept any return or replacement claims arising from such issues. Any re-manufacturing or modification of the products will be at your sole expense.
2.3 All products are manufactured according to the drawings or specifications confirmed by you. Once you confirm production, any problems arising from incorrect information shall be solely borne by you.
3. Order Cancellation
3.1 Once an order is accepted by Permalsteel, you may not unilaterally cancel the order without our written consent.
3.2 Cancellation at drawing/design stage: If, after the order is placed, Permalsteel has completed production drawings or renderings, and you then request to cancel the order, the design deposit of 5%–10% of the order value (depending on the complexity of the drawings) that you have paid will be forfeited in full.
4. Payment Terms
4.1 Pre-payment required to start production:
- For order value below USD 3,000: 100% full payment must be made before Permalsteel starts production.
- For order value above USD 3,000: 50% deposit must be made before Permalsteel starts production.
4.2 Final payment: The balance (the remaining 50% or the outstanding amount) must be cleared before the goods are scheduled for shipment. Permalsteel is not obliged to arrange shipment, provide bill of lading, or release the goods until the full purchase price has been received in cleared funds.
4.3 All payments shall be made by methods agreed by both parties (e.g., bank wire transfer). All bank charges are borne by you.
4.4 If you fail to pay the deposit or final payment within the agreed time, Permalsteel has the right to suspend production, delay shipment, and charge overdue interest.
5. Production and Delivery Timeframes
5.1 Production and delivery timeframes are estimates only. We will use reasonable efforts to meet them, but they do not constitute a guarantee of specific completion or delivery dates.
5.2 During peak export logistics seasons to North America and Australia, or in the event of force majeure (e.g., pandemic, port strikes, extreme weather, supply chain disruptions), delivery may be delayed. Permalsteel shall not be liable for such delays.
6. Receipt and Inspection (Key Clause)
6.1 Inspect outer carton upon receipt
When you receive the goods, you must immediately inspect the outer packaging for obvious damage, deformation, or water stains caused by transportation.
If any abnormality is found, you must immediately take clear video and photo evidence, and notify both Permalsteel and the carrier.
Special note: If shipment is arranged through Permalsteel's nominated freight forwarder, we will purchase insurance for all goods. The insurance claim requires evidence to be submitted within 7 calendar days. Therefore, you must complete a full outer carton inspection within 7 days of receipt. If you arrange your own freight forwarder, please remind them to purchase adequate transport insurance.
Failure to provide timely evidence or exceeding the insurance claim deadline may result in you being unable to claim compensation from the carrier or insurer.
6.2 Inspection period for goods: You must conduct a full unpacked inspection of the goods within 7 calendar days of receipt (steel door and window products are tall, making unpacked inspection particularly important).
6.3 Written notice of defects: If you find damage, quantity discrepancy, or quality issues (not caused by installation or subsequent use) during the inspection period, you must send a written notice to Permalsteel by email before the end of the 7-day period, attaching all relevant photo and video evidence.
6.4 Lapse of time deemed acceptance: If you fail to submit written objection within the above 7-day period, the goods will be deemed finally accepted by you, and Permalsteel will no longer accept any claims regarding apparent damage, shortage, or hidden defects.
6.5 Liability for transport damage
If damage is clearly caused by transportation (e.g., severely damaged outer carton, crushed goods), Permalsteel assumes no liability. You should claim compensation from the carrier or insurer under the contract of carriage.
Only if the damage can be proved to be directly caused by Permalsteel's improper packaging will Permalsteel bear limited liability (such as repairing or replacing the damaged part, but excluding indirect costs like removal, reinstallation, and freight).
7. Storage and Delayed Shipment
7.1 When your goods are ready for shipment, Permalsteel will notify you to arrange payment and shipment.
7.2 Free storage period: We provide 28 days (4 weeks) of free storage from the date of the "ready for shipment" notice.
7.3 Overdue storage fee: If the free storage period expires and you have not paid the balance or arranged shipment, from day 29 onward, Permalsteel may charge a storage fee of 1% of the total order value per week.
7.4 Overdue interest on late payment: If the goods have been ready for more than 4 weeks and you still have not paid the balance, Permalsteel may charge interest on the overdue balance at 10% per annum, calculated from the end of the free storage period until full payment is made.
7.5 If you are seriously overdue (no action taken for more than 60 days), Permalsteel has the right to treat the goods as abandoned and dispose of them to offset storage and production costs, without prejudice to claiming any shortfall.
8. Installation Responsibility
8.1 You are solely responsible for engaging qualified and experienced professional installers to install the products in accordance with the product instructions and local building codes.
8.2 Disclaimer for installation damage: Under no circumstances shall Permalsteel be liable for any damage, deformation, functional failure, or personal/property loss caused by improper installation, incorrect installation, failure to follow instructions, or use of incorrect tools by installers (including contractors, workers, or individuals you hire).
8.3 It is recommended that you provide the installation guide to your installers before installation. Any issues arising during installation should be addressed directly with your installation contractor.
9. Limited Warranty
This Limited Warranty applies to steel door and window products (the "Products") purchased directly from Permalsteel, excluding any installation services. This warranty is in addition to any statutory consumer guarantees (where applicable) that cannot be excluded.
9.1 Warranty Period
Two (2) years from the date the Products are shipped from Permalsteel's factory.
9.2 What does this limited warranty cover?
During the Warranty Period, under normal use and proper maintenance, Permalsteel warrants that the Products are free from material defects in materials or workmanship that materially affect functionality.
9.3 What will Permalsteel do?
If a defect covered by clause 9.2 appears during the Warranty Period, Permalsteel will, at its option:
- Repair the defective part free of charge; or
- Replace the defective product with a same or functionally equivalent product.
9.4 Handcrafted characteristics and allowable tolerances (important)
Our steel door and window products are custom-made and welded by hand, not laser-cut. You acknowledge and accept that handcrafted products may have the following normal phenomena that do not constitute defects:
- Minor cosmetic imperfections in the steel, welds, or paint finish;
- A manufacturing tolerance of ±3mm on all dimensions.
- Warp/bow/twist tolerances (for doors): For door heights up to 2,400mm, warp, bow, or twist ≤ 5mm is considered normal.
- For door heights between 2,400mm and 3,000mm, warp, bow, or twist ≤ 6mm is considered normal.
- For doors exceeding 3,000mm in height or 1,000mm in width, Permalsteel assumes no liability for any warp, bow, or twist.
Note: The reasonable limits for extra-wide or extra-high sizes vary by profile type. The specific limits shall be as stated in writing by Permalsteel during the drawing and review stage.
Design advisory responsibility: Different profiles have reasonable width/height limits. If, during the drawing and review stage, Permalsteel has provided written notice that the size of the product exceeds the reasonable limit (over-width or over-height) and has recommended design modifications (e.g., adding a sidelite, using a heavier profile, changing mullion layout, etc.), and the customer nonetheless insists in writing on the original design without adopting the recommendations, then any subsequent out-of-square, distortion, deformation, or related issues shall not be the responsibility of Permalsteel and shall not be covered by this warranty.
All phenomena within the above allowable tolerances do not constitute grounds for a warranty claim.
9.5 What does this limited warranty NOT cover?
This Limited Warranty expressly excludes the following:
- Normal wear and tear: including natural scratching or fading of paint, loosening of hardware, etc.
- Improper installation: any issues caused by non-professional installation, failure to follow instructions, or installation errors.
- On-site damage: damage caused by other trades (e.g., masons, electricians, painters) or persons after delivery, while in your warehouse, at the job site, or during installation (e.g., dents, scratches, impact damage).
- Environmental corrosion: rust or paint peeling caused by exposure to extreme humidity, coastal salt spray, industrial acid rain, chemicals, prolonged standing water, or direct sunlight without protection. Even with fluorocarbon paint, welded areas and drilled holes may rust if constantly exposed to water; we recommend products be installed under eaves or roof cover.
- Building settlement / structural movement: twisting, misalignment, or inability to close caused by settlement of the building, cracking of walls, or structural movement.
- Glass damage: any breakage or scratching of glass caused by transportation, handling, installation, or use is not covered. We only pass through the upstream glass manufacturer's warranty (typically 5 years for spontaneous breakage, 10 years for seal failure, from the date of glass manufacture). Permalsteel does not provide any additional warranty on glass.
- Improper maintenance: failure to perform necessary cleaning, lubrication, tightening, or other maintenance as described in the Appendix "Daily Maintenance Guide".
- Deformation due to over-size and refusal of design modification: as set out in clause 9.4, any warp, twist, distortion, or out-of-square caused by extra-wide/extra-high sizes where the customer rejected Permalsteel's design recommendations.
9.6 How to make a warranty claim
If you believe a defect covered by this warranty exists, you must:
- First contact Permalsteel in writing by email within the Warranty Period, providing the order number, photos, videos, and a detailed description of the defect.
- Do not attempt to repair or modify the product yourself before receiving written instructions from Permalsteel; otherwise the warranty will be void.
- Permalsteel will evaluate the defect. If it is determined to be covered by the warranty, we will guide you through the repair or replacement process.
- The warranty does not cover any indirect costs such as removal, reinstallation, freight to/from the factory, or repair of surrounding finishes.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, Permalsteel shall not be liable for any consequential or indirect loss, loss of profit, project delay costs, contractor penalties, or liquidated damages arising from the products.
10.2 Permalsteel's total cumulative liability shall not exceed the contract price paid by you for the specific products in dispute.
11. Intellectual Property
All drawings, designs, specifications, and technical documents prepared by Permalsteel remain the intellectual property of Permalsteel and may not be reproduced or used for other purposes without permission.
12. Governing Law and Dispute Resolution
12.1 This Notice shall be governed by and construed in accordance with the laws of the jurisdiction where Permalsteel is located.
12.2 Any dispute arising from this Notice shall first be resolved through good-faith negotiations. If negotiations fail, the dispute may be submitted to a competent arbitration body or the courts of Permalsteel's location.
13. Entire Agreement
This Purchase Notice constitutes the entire agreement between the parties regarding the supply of goods and supersedes all prior discussions, negotiations, or agreements. Permalsteel reserves the right to update this Notice from time to time, and the updated version will take effect upon publication.
Appendix
Daily Maintenance Guide
To extend the service life of your steel door and window products and maintain their performance, please follow the periodic maintenance recommendations below. Damage caused by failure to follow this guide (e.g., rust, difficulty in opening/closing) is not covered by the warranty.
Cleaning frequency
- Perform a thorough cleaning every 3 months. In coastal, high-humidity, or industrial pollution areas, shorten the interval to every 1–2 months.
Cleaning method
- Use a soft cloth or sponge with mild neutral detergent (e.g., diluted dish soap) and clean water to wipe the steel frames, glass, and hardware.
- Never use acidic, alkaline, abrasive (e.g., scouring powder, steel wool), or strongly corrosive cleaners, as they will damage the paint finish.
- After cleaning, wipe off surface water with a dry soft cloth, especially at the frame-sash overlap and the bottom track where water tends to accumulate.
Hardware lubrication
- Every 6 months, add a small amount of sewing machine oil or dedicated door/window hardware lubricant to hinges, handles, drive rods, locking points, and other moving parts.
- Open and close the door/window several times to distribute the oil evenly, then wipe off excess oil with a dry cloth to prevent dust accumulation.
Check drainage holes
- Inspect the drainage holes at the bottom of the window frame for blockage by dust or mud. If blocked, use a thin wire or toothpick to gently clear them, ensuring rainwater can drain properly.
Seal strip maintenance
- Check rubber seals for ageing, cracking, or dislodgment. If slightly dislodged, press back into place by hand. If hardened or broken, replace them in time.
- Lightly dust the seals with talcum powder or apply a dedicated rubber protectant to prevent sticking and ageing.
Paint touch-up
- If minor surface scratches (not exposing the metal substrate) are found, you may touch them up using a matching colour touch-up paint. Note: paint is classified as dangerous goods and cannot be shipped via ordinary courier; specialty chemical logistics are expensive. Permalsteel does not sell or supply touch-up paint — please contact your local paint supplier for a matching colour.
- If the metal substrate is exposed or rust spots appear, first lightly sand the area with fine sandpaper to remove rust, clean and dry the surface, then apply anti-rust primer and topcoat.
Tighten screws
- Once a year, check the screws on handles, hinges, drive mechanisms, etc. If any are loose, tighten them with a screwdriver.
Avoid impact
- Never strike the glass or steel frame with sharp or hard objects, as this may cause scratches, dents, or glass breakage.
Please read all the above terms carefully. When you confirm an order or make any payment, you acknowledge that you have fully understood and accepted all contents of this Purchase Notice (including the Appendix Maintenance Guide).
